SustainOnline.com Terms and Conditions
SustainOnline AG, CHE-115-231.129, based in Switzerland, (“SOAG”), is very happy that you want to use our service (the “Service”). By using our Service, you will be part of changing the world! However, before using the Service, you must accept our Terms and Conditions (the “Terms”) below.
Companies who let their representatives (such as employees) use the Service, accept to follow these Terms and to be responsible for their designated users’ compliance with these Terms by inviting users to use the Service
The following terms shall, in these Terms, have the meaning ascribed to them below.
The “Service” means the sustainability management service called SustainOnline, provided by the company SustainOnline AG on the Site www.sustainonline.com, with its at any time current features.
“Customer” means an organization that has bought a Beginner, Professional or Enterprise License. For the avoidance of doubt, a Customer can also use the Report License as a Supplier.
“Supplier” means an organization that reports sustainability data in the Service through a free Report License.
“Company” means a Customer or Supplier.
“User” means you, a natural person who is the Company’s designated user of the Service.
The “Site” means the domain and subdomains of www.sustainonline.com.
“User Account”, means any individual User’s account.
“License” means a Company’s right to let its designated Users use the Service.
“Content” means all original content of the Service, such as features, functionality, design elements, graphics, pictures, texts, statistics, guidelines, frameworks, standards and any other material or information.
“Data” means all texts, statistics, graphics, pictures and all other information that a User or Company uploads or publishes via the Service.
“Publisher” means any publisher or owner of guidelines, frameworks or standards that may be made available via the Service.
3. The scope of the Service
The Service is a digital platform, available via the Site, where Users can manage, visualize, evaluate, compare, record and analyze their and others’ Companies’ sustainability Data.
The Service is provided to Customers for a fee, in accordance with SOAG’s Service Agreement.
Suppliers are granted access to the Service through the License. The Supplier’s Users can report, collect and analyze the Supplier’s sustainability Data and make the Data available publicly in the Service or for certain Customers.
The Service is controlled and operated by SOAG from its office in Switzerland. SOAG makes no warranty that the Content and Data in the Service or the Site is available for use in other countries.
4. The User Accounts
A User Account is connected to a certain Company and may only be used by its designated User. Each User is responsible for keeping their login information secure and to keep their information updated and complete.
Each Company can manage the User Accounts of their designated Users from an admin account.
Each Company and its designated Users are jointly responsible for the activities conducted under their User Accounts.
5. Prohibited use of the Service
The User may use the Service for lawful purposes only. The User is strictly prohibited from posting or transmitting any material that could cause SOAG harm, constitute a criminal offense, give rise to civil liability, or otherwise violate any laws or these Terms. SOAG assumes no responsibility for Users’ posting or transmitting of such material. SOAG will cooperate with authorities and comply to court orderings requesting or directing SOAG to disclose the identity of anyone posting prohibited material.
The Service allows Companies and their designated Users to upload, submit, store, send and receive Data. The Company that Data concerns, retains the ownership of such Data. Consequently, you may not use Data in other ways than explicitly permitted in the Service or by the Data owner.
Any submitter of Data (whether a Company or User) warrants that it is either the owner of the Data or holds a valid permission to use and upload such Data from the Data’s owner.
SOAG neither warrants nor represents that Data, or the use thereof, will not infringe rights of third parties.
7. Intellectual property rights
The Service and its Content are SOAG’s or the Publishers’ exclusive properties. The Users’ and Companies’ permitted use of the Service and its Content is limited to the rights granted under these Terms. SOAG’s and Publishers’ intellectual property may not be used in another manner without their respective written consent.
The Service may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any purpose inconsistent with the rights granted under these Terms.
8. Third party sites
SOAG is not responsible for the content of any third-party site linked to from the Service. Users are advised to review any terms and privacy policies of such third-party sites before using them.
9. Limitation of liability
This section 9 is applicable to Suppliers using the Service under the free Report License and to individual Users. SOAG’s liability in relation to Customers is governed by the License and Service Agreement.
The Service is provided “as is”, without warranties of any kind, either expressed or implied, including, but not limited to, implied warranties of merchantability, its fitness for a particular purpose, or non-infringement.
SOAG shall not be liable for any direct or indirect damages arising out of the User’s or Supplier’s use of the Service.
10. Breach of the Terms
If the Service is used in violation with these Terms, or if the use constitutes a risk of harming SOAG’s goodwill, trademarks or reputation in general, SOAG reserves the right to delete, restrict or block any Data related to the breach and to limit the faulting User’s and/or Company’s access to the Service.
Each Company agrees to compensate SOAG with respect to all direct and indirect liability, losses, damages, costs or expenses caused, arising out of, or in connection with the Company’s or its designated Users’ i) negligence, ii) breach of these Terms, or iii) misuse of the Service.
11. Changes to the Terms
SOAG may at any time revise these Terms by publishing the new Terms on the Site, whereas such changes shall be in force from the publication thereof. The Users and Companies are bound by any such revisions and should therefore periodically visit the Site to review the Terms.
12. Governing law and dispute resolution
These Terms shall be construed in accordance with and governed by Swiss law. Disputes arising in connection with these Terms shall be settled by the public courts of Switzerland.
